1. ACCEPTANCE OF TERMS

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and Techavenue Systems Limited (“Paskii”, “we”, “our”, or “us”).

By accessing or using the Paskii platform, website, or mobile application (collectively, the “Platform”), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree, you must immediately discontinue use of the Platform.

2. NATURE OF THE PLATFORM (NO AGENCY)

2.1 Paskii operates a technology marketplace platform that connects individuals seeking services (“Consumers”) with independent service providers (“Taskers”).

2.2 Paskii is not a party to any contract between Consumers and Taskers and does not employ, control, or supervise Taskers.

2.3 Nothing in these Terms shall be construed as creating any agency, partnership, joint venture, or employment relationship between Paskii and any User.

2.4 Users acknowledge that all service engagements are entered into at their own risk and discretion.

3. ELIGIBILITY & USER ACCOUNTS

3.1 You must be at least 18 years of age and legally capable of entering into binding contracts.

3.2 You agree to provide accurate, complete, and up-to-date information at all times.

3.3 You are solely responsible for:

  • safeguarding your login credentials;
  • all activities conducted under your account; and
  • promptly notifying Paskii of any unauthorized access.

3.4 Paskii reserves the right to suspend, restrict, or terminate accounts at its sole discretion where there is a breach or suspected breach of these Terms.

4. IDENTITY VERIFICATION & KYC

4.1 To enhance safety, integrity, and fraud prevention, all Users (including Consumers and Taskers) may be required to undergo identity verification, including submission of:

  • National Identification Number (NIN);
  • Bank Verification Number (BVN);
  • Government-issued ID; or
  • other verification data as may be required.

Paskii reserves the right to require verification at any stage and to restrict, suspend, or terminate accounts that fail verification.

4.2 By providing such data, you consent to Paskii verifying your identity through authorized third-party verification services.

4.3 Failure to complete verification may result in restricted access, suspension, or termination of your account.

4.4 You warrant that all information provided is true, accurate, and not misleading.

4.5 LOCATION DATA: Taskers may be required to share real-time or task-based location data during the performance of services. By using the Platform:

  1. Taskers consent to such location tracking for purposes of service delivery, safety, and fraud prevention;
  2. such data shall be processed in accordance with the Privacy Policy;
  3. Paskii does not guarantee continuous monitoring or safety outcomes from such tracking.

4.6 VERIFICATION DISCLAIMER: Any identity verification conducted by Paskii is for platform integrity and fraud mitigation purposes only and does not constitute a guarantee, endorsement, or certification of any User’s identity, credibility, or conduct.

Users remain responsible for exercising independent judgment.

5. PAYMENTS, ESCROW & PLATFORM FEES

5.1 Paskii provides a secure escrow system for transactions between Users.

5.2 Consumers shall fund a task upfront. Funds are held in escrow and released to the Tasker only upon:

  • confirmation of satisfactory completion by the Consumer; or
  • resolution of a dispute in accordance with Clause 10.

5.3 Paskii shall charge non-refundable service fees, which may be deducted automatically.

5.4 Paskii does not act as a bank, trustee, or fiduciary. Funds held in escrow are managed through licensed payment providers.

5.5 Paskii reserves the right to withhold or delay payment where fraud, dispute, or regulatory concerns arise.

5.6 PRICING STRUCTURE

Paskii facilitates pricing strictly in respect of labour or service fees only.

Any additional costs (including materials, tools, transportation, or incidental expenses) are:

  • agreed directly between Users; and
  • are outside the scope of Paskii’s pricing, escrow, and responsibility unless expressly stated.

5.7 PLATFORM COMMISSION

Paskii charges a commission on Taskers for services facilitated through the Platform. Such commission may be:

  • deduducted automatically from payments released through escrow; or
  • charged as otherwise notified on the Platform.

All commissions are non-refundable, except where required by law.

5.8 PAYMENT PROCESSING DISCLAIMER

Paskii does not receive, hold, or control user funds in its own capacity. All payments are processed and held by independent, licensed third-party payment service providers. Accordingly:

  1. Paskii shall not be deemed a trustee, fiduciary, or custodian of funds;
  2. obligations relating to safeguarding or transfer of funds lie solely with the payment provider;
  3. Paskii shall not be liable for delays, errors, or losses arising from third-party payment systems.

6. USER CONDUCT & PROHIBITED ACTIVITIES

6.1 Users shall not:

  • use the Platform for unlawful or fraudulent purposes;
  • misrepresent identity or qualifications;
  • circumvent the Platform to avoid fees;
  • transmit harmful code, malware, or exploit vulnerabilities;
  • harass, abuse, or threaten other Users;
  • upload false, misleading, or defamatory content.

Paskii may immediately suspend or permanently terminate accounts for violations.

6.2 OFF-PLATFORM TRANSACTIONS: Where Users elect to transact outside the Platform after initial introduction:

  1. such transactions are entirely at their own risk;
  2. Paskii shall bear no responsibility or liability whatsoever;
  3. Paskii reserves the right to suspend accounts and recover lost fees.

7. INTELLECTUAL PROPERTY

7.1 All rights in the Platform (including software, branding, design, and content) are owned by or licensed to Paskii.

7.2 Users are granted a limited, non-exclusive, non-transferable license to use the Platform strictly in accordance with these Terms.

7.3 Users shall not copy, reverse engineer, reproduce, or exploit any part of the Platform without prior written consent.

8. DATA PROTECTION & PRIVACY

8.1 Paskii processes personal data in accordance with the Nigeria Data Protection Act, 2023 (NDPA).

8.2 Personal data collected may include identity information, contact details, transaction data, device data, and verification data.

8.3 Lawful bases for processing include:

  • performance of a contract;
  • legal obligations;
  • legitimate interests; and
  • user consent (where required).

8.4 Users have rights including:

  • access to personal data;
  • rectification of inaccurate data;
  • erasure (where applicable);
  • restriction of processing;
  • data portability; and
  • objection to processing.

8.5 Personal data may be shared with:

  • payment processors;
  • verification providers;
  • regulatory authorities; and
  • law enforcement agencies where required by law.

8.6 Cross-border transfers shall be conducted using adequate safeguards, including standard contractual clauses where applicable.

8.7 Full details are contained in the Privacy Policy, which forms part of these Terms.

9. DISCLAIMERS

9.1 The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied.

9.2 To the fullest extent permitted by applicable law, Paskii does not guarantee:

  • the quality, safety, suitability, or legality of services provided by Taskers;
  • the accuracy, completeness, or reliability of User representations;
  • that the Platform will be uninterrupted, secure, or error-free.

9.3 Personal Safety and Security

Users acknowledge that interactions arranged through the Platform may involve in-person engagements and real-world risks, including but not limited to risks relating to personal safety, security, property damage, theft, or misconduct. Accordingly:

  1. Users are solely responsible for exercising appropriate caution, judgment, and due diligence when engaging with other Users;
  2. Paskii does not conduct exhaustive background checks and does not guarantee the identity, conduct, or integrity of any User;
  3. Paskii shall not be liable for any loss, injury, damage, or harm arising from or connected with interactions between Users, whether online or offline;
  4. Paskii shall not be liable for acts including fraud, theft, assault, or other criminal conduct by Users.

9.4 Users have the duty to take reasonable precautions including meeting in safe locations, verifying identity, and avoiding any payments outside the Platform.

10. DISPUTE RESOLUTION BETWEEN USERS

10.1 Users agree to first attempt to resolve disputes directly.

10.2 Paskii may, at its discretion, provide non-binding dispute resolution assistance.

10.3 Paskii’s determination (if intervening) shall be final for escrow purposes but shall not preclude legal action between Users.

11. LIMITATION OF LIABILITY

11.1 To the fullest extent permitted by law, Paskii shall not be liable for:

  • direct, indirect, incidental, or consequential damages;
  • loss of profit, revenue, or business opportunity;
  • actions or omissions of Users.

11.2 Paskii’s total aggregate liability shall not exceed the total service fees paid to Paskii in the preceding 3 months.

12. INDEMNITY

You agree to indemnify and hold harmless Paskii from any claims, losses, damages, or expenses arising from:

  • your use of the Platform;
  • your breach of these Terms; or
  • disputes between you and another User.

13. TERMINATION

13.1 Paskii may suspend or terminate your account immediately where:

  • you breach these Terms;
  • fraud or misconduct is suspected; or
  • required by law or regulatory authority.

13.2 Upon termination, your right to use the Platform ceases immediately.

14. CHANGES TO TERMS

Paskii may update these Terms at any time.

Where changes are material, we will provide reasonable notice. Continued use of the Platform constitutes acceptance of the updated Terms.

15. GOVERNING LAW & DISPUTE RESOLUTION

15.1 These Terms shall be governed by the laws of the Federal Republic of Nigeria.

15.2 Any dispute arising out of or in connection with these Terms shall be resolved by arbitration under the Arbitration and Mediation Act, 2023, with the seat in Lagos or Port Harcourt.

15.3 Notwithstanding the above, Paskii reserves the right to seek injunctive or interim relief from any court of competent jurisdiction.

16. GENERAL PROVISIONS

  • These Terms constitute the entire agreement between you and Paskii.
  • If any provision is invalid, the remaining provisions remain enforceable.
  • Paskii may assign its rights; Users may not assign without consent.
